Aura Connect SMS International Messaging Addendum
Formal Customer and Partner Terms
Effective Date: 1st March 2024
This Addendum forms part of the Agreement between Aura Alliance Ltd, Aura Alliance Inc (collectively, “Aura”), and either (a) the Customer using the Aura Connect SMS International Messaging Service, or (b) the Partner reselling the Service to its own customers. This Addendum establishes the legal terms, obligations, limitations, and pricing provisions governing international outbound SMS messaging delivered through the Aura Connect service.
By accessing, using, purchasing, or reselling the Service, the Customer or Partner irrevocably agrees to be bound by the terms of this Addendum.
1. Definitions
1.1 “Service” refers to the Aura Connect SMS International Messaging Service, including all outbound A2P SMS messaging functionality provided via Aura’s upstream global carrier network.
1.2 “Customer” refers to any end user or organisation purchasing or consuming the Service from Aura or from an authorised Partner.
1.3 “Partner” refers to any authorised reseller who purchases, bundles, or resells the Service to end customers. All obligations described herein flow down in full to the Partner’s customers.
1.4 “Upstream Providers” refers to Aura’s third‑party carrier networks and associated providers responsible for SMS delivery.
2. Scope of Service
2.1 The Service provides outbound A2P SMS messaging from supported UK and US infrastructure to international destinations listed in the Aura International Rate Card.
2.2 Delivery of SMS messages is dependent on third‑party carriers, international routing conditions, and local regulations. The Service is provided strictly on a commercially reasonable efforts basis.
2.3 Message delivery may be delayed, blocked, filtered, partially delivered, or undelivered without warning.
2.4 A global platform rate‑limit of one (1) SMS per second applies to maintain system integrity.
3. Customer and Partner Obligations
3.1 Customer Obligations
The Customer shall:
- Ensure SMS content complies with all applicable laws, regulations, and carrier policies in both origin and destination countries.
- Ensure that use of the Service does not violate data protection, marketing, consumer protection, or telecommunications laws.
- Monitor usage and associated charges and accept responsibility for any spend incurred.
3.2 Partner Obligations
The Partner shall:
- Flow down all terms of this Addendum to its end customers without modification.
- Ensure its customers are informed of the variable nature of international SMS delivery and pricing.
- Fulfil all front‑line communication, billing, and customer‑facing obligations within their resale model.
- Indemnify Aura against claims arising from the Partner’s resale, failure to disclose terms, or misrepresentation of the Service.
4. Disclaimer of Warranty
4.1 The Service is provided on a commercially reasonable efforts basis only.
4.2 Aura makes no warranties, express or implied, including but not limited to: - Fitness for a particular purpose - Merchantability - Uninterrupted delivery - Error‑free operation - Delivery success or delivery timing
4.3 Aura does not guarantee performance of the Service in any specific country or region.
5. Limitations of Liability
5.1 Aura shall not be liable for any direct, indirect, incidental, consequential, exemplary, punitive, or special damages arising from or relating to use of the Service, including but not limited to: - Lost profits - Business interruption - Delivery failures - Data loss - Delays or regulatory blocks
5.2 The Customer and Partner acknowledge that international messaging is inherently subject to carrier restrictions and conditions beyond Aura’s control.
6. Critical Communications Exclusion
6.1 The Service must not be used for emergency, mission‑critical, life‑critical, health‑critical, or safety‑critical communications.
6.2 Customer and Partner warrant that they have communicated this exclusion internally and to any relevant downstream users.
7. Pricing and Billing
7.1 Pricing Structure
- International SMS pricing is derived from Aura’s upstream providers.
- Pricing is variable and subject to change at any time based on global carrier conditions.
- Updated pricing is applied automatically without notice to both Customers and Partners.
- Pricing excludes YakChat user licence fees, local taxes, and any applicable regulatory charges.

7.2 Billing Terms
- Usage‑based charges are invoiced monthly in arrears.
- Charges apply per message sent.
- Inbound messages, where supported, may also incur charges.
- Partners are fully responsible for managing pricing and billing to their own customers.
7.3 SMS Credit Bundles
- SMS credit bundles are valid for twelve (12) months from the date of order.
- Unused credits expire automatically after 12 months.
- Expired credits are non‑refundable and may not be rolled over.
8. International Messaging Terms
8.1 International outbound SMS refers to A2P messages originating from UK or US systems.
8.2 Aura does not guarantee: - Delivery success - Delivery performance - Message receipt - Regional availability
8.3 Certain destinations may experience temporary or permanent suspension depending on regulatory conditions.
9. International Rate Card
The following rates represent the current customer pricing for outbound international SMS. Prices are in USD per message and are subject to change without notice.

- They have read and understood this Addendum.
- These terms form an enforceable part of their Agreement with Aura.
- These terms apply automatically to any end customer where the Partner resells the Service.
